What is the EOA Experts Panel?

Members of the EOA Experts Panel are selected by EOA based on their combined experience of consulting in the employee share plan space over several decades.  To be invited to be a member of the Experts Panel the individuals must have over ten years’ recognised experience in designing, managing and implementing employee ownership plans.  In addition, the individuals selected by EOA are recognised by their peers as practitioners of excellence in this area.  The Experts Panel members have been selected from the leading tax and legal professional firms and share plan administrators and registry providers in Australia.

The Experts Panel’s philosophy regarding broad based employee share ownership is aligned with that of the EOA.

Andrew Clements

Experience and expertise

Andrew Clements is a Partner in the Melbourne office where he specialises in tax with an emphasis on capital gains tax, consolidation, imputation and international tax work. His practice concentrates on corporate tax, together with the tax consequences of dealing in intellectual property rights and with the taxation treatment of the funds management industry. He also has extensive experience in relation to both the tax and legal issues associated with employee share schemes.

Andrew is recommended by Chambers Global Guide 2009 and commentators “have always found his work to be of a very high standard.” He has also been nominated as a leading individual in Tax by APL 500 2008/2009.

Experience and expertise

Adrian’s practice involves advising public and multinational companies on all aspects of domestic and international tax planning, with a focus on corporate head office issues such as employee share and dividend reinvestment plans, mergers and acquisitions and structured finance.

Key areas of practice include:

  • Employee share and option plans;
  • Corporate dividend and capital return strategies;
  • Capital gains tax and other reorganisation issues associated with mergers and acquisitions;
  • The taxation of public trusts and alternative structures such as stapled vehicles, partnerships and unincorporated joint ventures;
  • Domestic and offshore debt capital raising; and
  • Structuring for inbound investment into Australia, particularly from the United States.

Adrian has had significant roles over an extended period with ANZ Banking Group, Centro Properties Group, Coles Myer, GE Capital and Transurban. Adrian has implemented employee share and option plans for many leading companies in Australia including ANZ Banking Group, AXA, BHP Billiton, Coles Myer, Oz Minerals and Santos.

Angela Perry

Experience and expertise

Angela is a qualified English Barrister and Australian qualified solicitor. She has over 14 years consulting experience in the fields of equity plan design and executive compensation practice. This experience was gained in the Australian, Europe, UK and US markets.

Angela has acted for some of the top Australian and UK public and private companies and large internationals in relation to design, implementation and administration of equity plans and equity like products. In particular, she has advised and implemented global equity plans and short term incentive plans in over 50 countries globally. 

In the UK she was part of the HM Revenue & Customs’ (formerly the Inland Revenue) consultation process for the New All Employee Share Plan. She has undertaken research for the European commission on the prevalence, reasons for and barriers to employee share plans in Europe. She has worked with the Australian Employee Share Ownership Development Unit in the Department of Employment and Workplace Relations on the getting started kits.

Chris leads Ernst & Young’s Equity Incentives practice in Australia, specialising in executive remuneration and the design and implementation of employee share plans and long-term incentive plans.

Chris’ team provides remuneration, incentive design, tax, legal and accounting advice to a wide range of Australian and overseas organisations.

Chris has worked extensively with major Australian-listed groups, private equity firms and unlisted companies on executive remuneration and equity plan-related assignments, including IPOs and transactions.

With over 15 years of experience working in Australia and the United Kingdom, Marc’s expertise is in consulting to organisations and executives in relation to reward, compensation, taxation and global mobility matters. 

Marc successfully helps Boards and Senior Executives to design reward programs that create alignment with the organisation’s business and people strategy.

Extensive experience working in global mobility and international tax means Marc has in-depth knowledge of the tax and regulatory requirements of operating reward programs, including the cross-border challenges for employees and employers.

Experience and expertise

Matt commenced his employee equity career in the UK with HBOS in 1994. Over the past 20 years, he has worked with companies with workforces ranging from one employee to 200,000 in the UK, Australia and New Zealand to design, communicate and implement their local and global share plans.

Now based in Sydney, Matt manages a team of relationship managers coordinating plans for local and international companies, and assists clients implement and execute effective employee share plan strategies that support broader organisational objectives. He is also involved in strategy development as a member of the Computershare Plan Managers leadership team in Australia.

Mathew Ronald
General Manager, Equity Plan Solution

Mathew Ronald is General Manager of Link Market Services’ Employee Equity Plan Solutions division. At Link, Mathew provides end-to-end services to Link’s equity plan clients across the full spectrum of employee share plan lifecycle, including administration, consulting, legal and taxation services.

Mathew is a lawyer and equity plan specialist who has spent his career designing and advising on employee equity arrangements.Prior to joining Link, Mathew worked as an equity plan lawyer at Linklaters LLP (UK) and Corrs Chambers Westgarth, and as a remuneration consultant with Ernst & Young.

Sandra is an executive consultant with nearly 20 years experience in consulting and advisory in Australia and in the US. She has practiced as both a lawyer and tax accountant. Sandra is recognised as an expert in global design and delivery of executive equity, executive compensation, deferred compensation plans, long-term incentives, broad-based compensation and benefits, as well as securities, tax and other regulatory requirements. She has helped clients operate global equity programs meeting complexities in tax and regulatory requirements and shareholder demands in multiple (100+) jurisdictions.

Sandra was appointed to advisory panels to the Federal Government, Treasury and the Australian Board of Taxation as a technical expert on employee share schemes. She continues to advise in 2015.

Sandra is a regular speaker at conferences in Australia, the US and Europe, and has written numerous technical papers on global and domestic equity matters.
